Terms of Service for Organizations/Companies
Purpose IT Benefits and Trading Platform

1. Introduction and Acceptance
These terms of service ("Terms") govern organizations' and companies' use of Purpose IT's benefits and trading platform ("Platform"). By registering the organization and using the Platform, you fully accept these Terms. Purpose IT AS (org.no. 934916042) ("Purpose IT", "we", "us") offers a digital benefits platform that can be customized and profiled for various organizations and companies.
2. Platform Functionality
Purpose IT delivers a customized version of the Platform that: • Appears as your own benefits portal, complete with your logo, colors, and profile • Provides the ability to manage and display both existing local agreements and new discount agreements, together with the platform's national partner agreements • Gives your members/employees exclusive access to all benefits through a user-friendly solution • Automatically generates financial contributions to the organization every time members/employees shop with affiliated partners
3. Financial Conditions
Free of charge: • Use of the Platform is free of charge for the organization and their affiliated persons • Purpose IT receives commission from affiliated trading partners for purchases made through the Platform Commission sharing: • The organization receives a share of the commission generated from purchases made by persons affiliated with the organization • Payment to the organization is made monthly in arrears • Commission shares and payment conditions are specified in a separate agreement
4. Organization's Obligations
By using the Platform, the organization commits to: • Implement the Benefits Platform for their own organization/business within three months after the solution is made available • Make the Platform visible to their employees and members • Actively market the Platform to their employees and members • Contribute with input on requirements and wishes in connection with development and improvement of the Platform • Follow applicable laws and regulations in marketing the Platform
5. Purpose IT's Obligations
Purpose IT commits to: • Deliver and maintain the Platform with agreed functionality • Offer the organization free use of the solution and pre-negotiated agreements • Ensure that the Platform offers attractive discounts and benefits • Facilitate users' ability to contribute funds to the organization through the Platform • Pay agreed commission according to established routines
6. Processing of Personal Data
Processing responsibility: • The organization is data controller for personal data about their own members and employees • Purpose IT is data controller for personal data related to use of the Platform and administration of the solution Obligations: • Both parties commit to following the Personal Data Act and GDPR • A data processing agreement must be entered into before personal data is processed in the Platform • The organization must ensure lawful basis for sharing member/employee information with Purpose IT and 2izii
7. Intellectual Property Rights
• All intellectual property rights to the Platform belong to Purpose IT • The organization is granted a non-exclusive right of use to the Platform as long as the contractual relationship exists • The organization's logo and profile remain the organization's property • Purpose IT is granted the right to use the organization's logo and profile in the Platform as long as the contractual relationship exists
8. Customization and Profiling
The organization can: • Customize the Platform's appearance with their own logo, colors, and profile • Manage and display local agreements together with national partner agreements • Set up organization-specific settings and communication
9. Liability and Compensation
Limitation of liability: Purpose IT has no liability for: • Products or services delivered by trading partners • The organization's marketing of the Platform • Losses resulting from the organization's breach of these Terms • Indirect losses or consequential damages Organization's liability: The organization is responsible for: • Legal and correct marketing of the Platform • Any damages resulting from misuse of the Platform • Compliance with privacy regulations towards their own members/employees
10. Breach and Termination
Material breach by Purpose IT: • Failure to deliver agreed functionality • Significant deviations from agreed functionality • Breach of privacy legislation • Failure to pay agreed commission Material breach by the organization: • Misuse of the Platform • Breach of confidentiality obligations • Failure to fulfill marketing obligations after written notice • Breach of privacy legislation In case of material breach, the contractual relationship may be terminated with immediate effect.
11. Confidentiality
Both parties commit to keeping all information exchanged in connection with the use of the Platform confidential and not sharing it with third parties without written consent from the other party. Upon termination of the contractual relationship, the parties shall immediately return or delete all confidential information belonging to the other party.
12. Duration and Termination
• These Terms apply as long as the organization uses the Platform • The organization may terminate use of the Platform at any time with 60 days' written notice • Purpose IT may terminate the organization's access upon breach of these Terms • Upon termination, all access to the Platform ends, and commission payments cease
13. Changes to Terms
Purpose IT may change these Terms as needed. Significant changes will be communicated in writing at least 30 days before they take effect. Continued use of the Platform after changes implies acceptance of the new Terms.
14. Third Parties and Trading Partners
• The Platform includes services from trading partners and 2izii for handling cards and transactions • The organization accepts that necessary information is shared with these to ensure discounts and calculate commission • Each trading partner may have their own terms that apply to purchases
15. Applicable Law
These Terms are subject to Norwegian law. Any disputes shall be sought resolved amicably, and if this fails, by Norwegian courts with Oslo District Court as venue.
