Terms of Service for Trading Partners/Advertisers
Purpose IT Benefits and Trading Platform

1. Introduction and Acceptance
These terms of service ("Terms") govern trading partners' and advertisers' participation in Purpose IT's benefits and trading platform ("Platform"). By registering as a trading partner and offering products/services through the Platform, you fully accept these Terms. Purpose IT AS (org.no. 934916042) ("Purpose IT", "we", "us") operates a digital benefits platform that connects trading partners with end users through organizations' customized benefits portals.
2. Platform Functionality
As a trading partner, you gain access to: • A digital marketplace with access to end users through affiliated organizations • Ability to offer discounts and benefits to a defined customer segment • Exposure of your products/services within organizations' brand identity • Reporting and statistics on sales generated through the Platform • Integration possibilities for efficient handling of orders and customer service
3. Trading Partner's Obligations
Products and services: • Offer competitive and attractive discounts to Platform users • Maintain product quality and service level according to your own standards • Deliver products/services as advertised and within agreed time • Handle customer service, complaints and returns for your own products/services Marketing and content: • Provide correct and updated product information, images and prices • Ensure that all marketing content is legal and not misleading • Comply with applicable laws and regulations for marketing and consumer protection • Respect organizations' and Purpose IT's brand identity Technical requirements: • Ensure necessary technical integration for smooth user experience • Maintain systems that can handle traffic from the Platform • Provide necessary data for reporting and commission calculation • Follow technical specifications and API requirements
4. Purpose IT's Obligations
Purpose IT commits to: • Facilitate exposure of the trading partner's offers on the Platform • Operate and maintain the technical infrastructure • Provide reporting on sales activity and customers referred from the Platform • Pay commission according to agreed model and payment terms • Market the Platform to organizations and end users
5. Financial Conditions
Commission model: • The trading partner pays commission to Purpose IT based on sales generated through the Platform • Commission rates are specified in separate pricing agreement or commercial terms • A portion of the commission is further paid to organizations to support voluntary work • Commission is calculated on net revenue (excl. VAT, shipping and returns) Payment and settlement: • Settlement occurs monthly in arrears based on verified transactions • Purpose IT invoices trading partner, ensures distribution of commission according to model and VAT handling on commission • The trading partner is responsible for correct handling of payment for end users and proper VAT handling related to the actual purchases • In case of dispute regarding commission calculation, the trading partner has the right to access relevant data
6. Processing of Personal Data
Processing responsibility: • Purpose IT is data controller for personal data related to Platform operations • Purpose IT uses www.2izii.no as collaboration partner for handling cards and transactions • The trading partner is data controller for personal data in their own customer handling • Data processing agreement is entered into between parties when needed Sharing of information: • Necessary customer information is shared to complete transactions • The trading partner gains access to information necessary for delivery and customer service • Both parties commit to following the Personal Data Act and GDPR • Sales statistics may be shared in anonymized form for reporting purposes
7. Intellectual Property Rights
Trading partner's rights: • The trading partner retains all rights to their own trademarks, logos and products • Purpose IT is granted limited right to use the trading partner's intellectual property for marketing on the Platform Purpose IT's rights: • Purpose IT retains all rights to the Platform and its functionality • The trading partner does not receive rights to Purpose IT's systems or technology Limited right of use: • Both parties may use the other party's material only in connection with the collaboration • Upon termination of collaboration, the right to use the other party's intellectual property ceases
8. Product Liability and Warranty
Trading partner's liability: • The trading partner has full product liability for their own products/services • The trading partner guarantees that products/services comply with applicable legislation • Purpose IT has no liability for product quality, delivery or customer service Liability insurance: • The trading partner shall have satisfactory liability insurance • Purpose IT may require documentation of insurance coverage
9. Marketing and Advertising
Offers and discounts: • All offers must be genuine and competitive • Discounts must be exclusive to Platform users or at least as good as best public price • Changes to offers must be notified with minimum 14 days' notice Marketing materials: • All content must be correct, updated and not misleading • The trading partner is responsible for the legality of their own marketing content • Purpose IT reserves the right to reject or remove inappropriate content
10. Exclusivity and Competition
• Unless otherwise agreed, the collaboration is not exclusive for either party • The trading partner may offer products/services through other channels • The trading partner shall not actively work against the Platform or offer worse terms to Platform users
11. Quality Requirements and Monitoring
Quality standards: • The trading partner shall maintain high quality on products, services and customer handling • Purpose IT may monitor customer satisfaction and service level • In case of repeated complaints or quality problems, Purpose IT may suspend or terminate the collaboration Reporting: • The trading partner shall provide necessary sales data for reporting and commission calculation • Data shall be correct and delivered within agreed time • Purpose IT may require documentation and access to relevant systems
12. Breach and Sanctions
Material breach by trading partner: • Delivery of defective or misleading products/services • Breach of privacy legislation • Failure to meet quality requirements after notice • Breach of payment obligations • Damage to Purpose IT or Platform reputation Sanctions: • In case of breach, Purpose IT may suspend the trading partner's access • In case of material breach, collaboration may be terminated with immediate effect • Outstanding commission may be withheld until breach is remedied
13. Duration and Termination
Contract period: • The collaboration applies indefinitely unless otherwise agreed • Both parties may terminate the collaboration with six months' written notice • In case of material breach, collaboration may be terminated with immediate effect Upon termination: • Outstanding commission is settled within 30 days • Ongoing orders shall be completed according to applicable terms • Both parties shall return or delete confidential information
14. Force Majeure
Neither party is liable for failure to fulfill obligations due to force majeure, including war, natural disasters, strikes, technical failures or public orders.
15. Confidentiality
Both parties commit to keeping confidential all information received in connection with the collaboration, including but not limited to: • Business strategies and plans • Customer data and sales statistics • Technical information and integration details • Commission rates and commercial conditions Purpose IT may share information about commission rates with organizations/companies to ensure transparency regarding distribution between the platform and voluntary organizations/companies.
16. Applicable Law
These Terms are subject to Norwegian law. Any disputes shall be sought resolved amicably. If this fails, the dispute shall be decided by Norwegian courts with Oslo District Court as venue.
